Hereinafter referred to as "The Customer"

Hereinafter collectively referred to as ''The Parties''

ARTICLE 1: PURPOSE

These general conditions of sale define the contractual relationship between the Seller and the Customer, and the conditions applicable to all purchase made via the website www.gardenode.com (hereinafter referred to as the “Website”) or any order directly placed via email to the address contact@gardenode.com

The Customer acknowledges it is a professional, defined as any natural or legal person acting for purposes relating to his trade, business, craft or profession and any person acting in the name of and on behalf of a professional.

The purchase of a product via the Website or an email order implies full and unreserved acceptance by the Customer of these general conditions. The Seller reserves the right to modify these general conditions at any time, it being specified that the conditions applicable to the Customer shall be those in force on the date the order is placed on the Website.

ARTICLE 2: DESCRIPTION OF THE PRODUCTS

The products offered are presented on the Website and in the catalogues provided by the Seller. Any photographs accompanying the presentation of the products are as accurate as possible but cannot ensure complete similarity with the product offered and, in some cases, show presentation ideas in which all the items included in the photographs are not routinely offered for sale.

ARTICLE 3: PRICE

The prices indicated by the Seller at the time of the order are quoted in euros including tax, in accordance with the VAT rate effective on the date on which the order is placed. Any changes in rate will be applied without delay to the price of the offered products.

The prices are stated without shipping costs, which are specified subsequently during the ordering process.

The Seller reserves the right to change its prices at any time, on the understanding that only the prices shown on the Website on the date on which the order is placed shall be applicable to the Customer.

The stated prices include the costs of processing the order.

The sale price is payable as soon as the order is placed.

The order may be paid for by the following means:

Bank card: Carte Bleue, e-carte bleue, Visa, Mastercard. Your account will be debited when the order is validated. If products are out of stock or unavailable, you will be contacted by email or telephone at the addresses and numbers you provided previously in your customer account;

Bank transfer: indicate the order reference in the transfer text and send it to the following GARDENODE bank account: IBAN: BE94 3631 6524 6614 ;

By direct debit: SEPA Direct Debit within 30 days, if SFAC approves deferred payment.

The Customer guarantees the Seller that it has any necessary authorisations to use the chosen method of payment.

The Seller reserves the right to suspend execution of the order or to cancel it if the banking institution holding the Customer's account refuses to validate or execute the relevant payment for this order or if this is found to be or is suspected of being fraudulent.

The Seller shall not assume any costs attributable to the monetary transaction.

The Seller shall email an invoice showing the VAT to the Customer.

ARTICLE 4: ORDER PROCESS

4.1 Order via the Website

Before placing the order, the Customer must log in and provide the requested information, including his/her identity, an email address, telephone number and delivery address.

To place an order with the Seller, the Customer must:

- consult the description of the offered products and add the selected products to his/her basket

- validate the basket

- correct any input errors

- validate the order

- create or modify his/her customer account to ensure accuracy of the data provided

- choose method of delivery

- choose and validate method of payment

The Seller will then send the Customer an order confirmation email containing the information provided by the Customer.

4.2 Order by email

To place an order with the Seller, the Customer must email the following information:

- Customer’s identification: first name and professional or business name, legal form, registration number in the commercial register, address of registered office or domicile and, if applicable, the intracommunity VAT no.;

- Delivery details: delivery address and contact telephone number;

- Billing information: billing address, if different from the delivery address;

- Products ordered: designation, reference and quantity of product(s) ordered.

The Seller provides the Customer with a purchase order summarising his/her order. The Customer validates the order by signing the purchase order, confirming the order by email or paying the order price.

4.3 Joint provisions

The Customer must ensure the accuracy of the information provided, for which he/she alone is responsible.

All data provided and the registered confirmation or order validation constitute proof of the transaction.

The Seller shall archive the orders and order confirmations on a reliable and durable medium as a true copy in accordance with the provisions of Article 1127-1 of the Civil Code. The Seller's computerised records shall be deemed by the Parties to be proof of the communications, orders, payments and transactions that have occurred between the Parties.

The Customer must retain the order number which will be assigned by the Seller and will be requested, in particular, for any future claims.

Finally, it is specified that the Seller reserves the right to refuse an order that is in any way abnormal, particularly with regard to, but not limited to, quantities ordered, if the data provided by the Customer is incomplete or incorrect or in case of non-payment of a previous order.

ARTICLE 5: UNAVAILABILITY OF PRODUCTS

If ordered stock items are unavailable, the Seller will inform the Customer by email. The Seller will then inform the Customer of the new delivery date if this is more than 21 days from the date of the order.

In the event of such unavailability, the Customer has the option of maintaining or cancelling his/her order, within 72 hours from receipt of the email. If no response is received within the aforementioned period, the order shall be deemed to be maintained.

If the order is cancelled, the price will be refunded to the Customer.

ARTICLE 6: DELIVERY

6.1 Delivery times

The indicative delivery time for a product from the date of order is stated in the product description. In the case of a bulk purchase of a number of products from the Seller, the delivery time applicable to the whole order corresponds to the longest delivery time stated for one of these products.

The Seller will inform the Customer by email of the dispatch of his/her order.

The stated delivery time does not take account of the time for preparation of the order. This can take one or two days and may be longer, depending on the period.

6.2 Delivery charges

The delivery charges for the products are calculated according to the package weight, destination and type of transport. These charges are indicated before validation of the order. In addition, the “ xxxx Delivery “ tab, containing the delivery rates, is always present at the bottom of the pages on the Website.

6.3 Terms of delivery

The sale of products is limited to and reserved for Customers residing in the territory of the European Union, and for deliveries requested in this geographical area.

Deliveries are made to the address indicated by the Customer when placing the order.

Delivery will be made to the ground floor of the Customer's property, from an accessible road no less than 4 metres wide. The carrier may refuse delivery if these conditions are not met.

On receipt of the products, the Customer must check the condition and quantities of the delivered order and check the contents of the package in the carrier's presence before signing the delivery note.

In the event of damaged or missing items, the Customer must note specific reservations on the delivery note and refuse delivery of the package. The Customer will inform the Seller by email to the following address: contact@gardenode.com, stating the order number, within working three days of the delivery. In the absence of reservations or in the case of insufficient reservations, the Seller reserves the right to refuse to take back, exchange or refund the product(s). Once the Customer has signed the delivery note, without specific reservations, the carrier and Seller will be released from their liabilities in respect of damage caused during delivery. The wording “subject to unpacking” has no legal basis and does not discharge the Customer from his/her obligation to check the delivered product. If the delivery company does not leave time for the Customer to check the condition of the goods (quality? and quantity?), the Customer must state this on the delivery note and have it countersigned by the driver.

The Seller reserves the right to choose the shipping provider.

Delivery by carrier with truck-mounted forklift:

All deliveries are made by appointment, agreed between the carrier and the Customer. An appointment scheduling request is made to the Customer, on the telephone number or at the address specified during registration.

The Customer confirms the appointment to the carrier and validates the terms of delivery.

In general, refusal by the Customer to accept the proposed delivery date triggers the time period (15 working days) for a new delivery.

However, the carrier undertakes to telephone the Customer to seek a solution before extending the delivery period.

Delivery is made by semi-trailer or rigid vehicle with a total gross weight of 40 tons, length 16 metres or 18 metres, equipped with a truck-mounted forklift with weight 2000 kg.

If the place of delivery is difficult to access for this type of vehicle, either:

- The Customer proposes another accessible place of delivery.

- The carrier can propose an alternative solution, but a fixed fee (varying depending on location) will be applied.

- The Customer cancels his/her order.

The Seller reserves the right to cancel and refund the Customer's order if none of these 3 solutions are accepted by the 3 parties (Seller / Customer / carrier).

The Seller reserves the right to appoint another carrier.

If the Customer or a third party designated by him/her is absent at the nominated delivery time, the Seller reserves the right to re-invoice the Customer for any new delivery.

The Seller reserves the right to charge the Customer an additional delivery fee if the access conditions at the address given by the Customer have been made abnormally difficult.

ARTICLE 7: LIABILITY

The Seller may be exempted from all or part of its liability if it is able to show proof that the non-fulfilment or poor fulfilment of the contract is attributable either to the Customer, or to the unpredictable and insurmountable act of a third party to the contract, or to a case of force majeure, as defined in Article 1218 of the Civil Code.

The Customer must ensure that the ordered products fully meet his/her needs and take account of the specific constraints of the envisaged installation conditions for the products.

The Seller may not, in particular, be held liable in the case of incorrect or improper use of the products, or in the case of use that is not compliant with the instructions for installation or open air storage or in the case of any abnormal use of the products.

The Seller may not be held liable for the Customer’s misuse of the fencing configuration tool provided on the Website, which does not impose any obligation on the Seller to produce results.

If the Seller's liability was accepted following non-fulfilment or poor fulfilment of these general conditions of sale, the total amount of compensation cannot, by express agreement, exceed an amount equal to the price of the product which resulted in the damage. The Customer is deemed to have purchased the products at his/her own risk. The Seller is only liable for damaging consequences that may arise from product defects, in particular material, immaterial, commercial, operational or any other kind. Furthermore, the Seller shall not be held liable for any indirect damage suffered by the Customer.

ARTICLE 8 : WARRANTIES

8.1 Legal warranty

All products supplied by the Seller benefit from the legal warranty against hidden defects under articles 1641 et seq. of the Civil Code. The Customer has a period of two years from discovery of the defect to assert the warranty against hidden defects.

To benefit from the warranty against hidden defects, the Customer must provide proof that the defect was not apparent, existed at the time of purchase and makes the product unsuitable for the use for which it was intended or substantially impairs this use.

If such proof is provided, the Customer can choose between cancellation of the sale or reduction of the sale price. However, the Seller shall not be liable for the costs of replacing or refunding any goods other than the product presenting a hidden defect, regardless of the cause of damage to these goods, and/or the labour costs relating to disassembly and replacement of the product presenting a hidden defect.

The Customer is also advised that the warranty against hidden defects applies irrespective of any commercial warranty provided by the product manufacturer.

8.2 Product returns process

The Customer must retain the packaging, the accessories provided with the product as well as any labels affixed to the product or its packaging, which are required to benefit from the warranties.

If the product is defective or non-compliant, the Customer must send an email to the address contact@gardenode.com or write to GARDENODE, Gardenode SPRL Rue du Valemprez 20B 7711 Dottignies Belgium, stating the problems encountered with the product(s) concerned, as well as the order references. The Customer will then receive a return number.

The Seller will ask the Customer to return the product. Shipping costs are payable by the Customer. The Customer is responsible for ensuring that the product is properly packaged to avoid damage or breakage during return transit.

If the returned product is not defective, the return will be considered as invalid and rejected. Transport, handling and testing costs will be payable by the Customer. Likewise, all products returned without a return number will be treated as a non-compliant return.

If no warranties apply to the product, the Seller may provide the Customer with a quotation for repairing the product.

8.3 Commercial warranty

Some products offered for sale may be covered by a contractual warranty from their manufacturer. Commercial warranties are optional and do not replace legal warranties. Where the ordered product is guaranteed by the manufacturer, the commercial warranty agreement is concluded between the Customer and the manufacturer through the purchase, the invoice and the commercial warranty card provided at delivery. The warranty period commences on the date of delivery of the product.

in general, the following are not covered by commercial warranty:

Degradation of the product resulting from normal wear and tear given its nature, function, composition and price;

Products which have been used too intensively, other than in a private setting;

All product defects resulting from misuse, incorrect storage, preservation or installation, from lack of maintenance, improper use or use not in compliance with the technical specifications or specifications for use (failure to follow maintenance and servicing instructions), modifications or repairs carried out by the purchaser or a third party, damage caused by external objects, external events such as accidents, impacts, fires, acts of vandalism, water damage, natural or artificial light (in cases of discolouration), natural disasters or adverse weather.

ARTICLE 9: INTELLECTUAL PROPERTY

All components of the Website, as well as components provided by the Seller, in particular all graphic, audio and text elements, including the underlying technology and presentation of the products, are protected by copyright.

The Customer is therefore strictly forbidden from any full of partial reproduction, representation or distribution of any specific element forming an integral part of the Seller's Website or catalogue.

Furthermore, the Seller also owns the “Gardenode” trademark which is registered with the INPI. Consequently, the Customer is advised that any reproduction and/or imitation of this trademark, without the Seller's express prior authorisation, constitutes an act of infringement for which the Customer is liable.

ARTICLE 10: RIGHT OF WITHDRAWAL

Only Customers for whom the contract purpose is not part of their core business and who employ no more than five (5) people are entitled to the right of withdrawal referred to in this article.

In this case, the Customer is entitled to a cooling-off period of fourteen days from receipt of the product by the Customer or a third party, other than the carrier, designated by him/her, or the receipt of the last product in the case of an order for a number of products delivered separately, where the delivery is over a defined period, to return the product to the Seller for an exchange or refund, without giving any reason or bearing any costs other than the costs of return.

Before expiry of the withdrawal period, the Customer shall inform the Seller of his/her decision to withdraw by sending the Seller the withdrawal form provided in the Annex, or by clearly stating the decision to withdraw in a mail sent to the following postal / mail address: GARDENODE, Gardenode SPRL Rue du Valemprez 20B 7711 Dottignies Belgium or contact@gardenode.com, to obtain a return number.

The Customer must provide the order number in the withdrawal form or mail.

Some of the Seller's products, due to their nature, cannot be returned by post. For these products it is necessary to contact the Seller to schedule a collection. The collection cost will be charged to the Customer. The cost depends on the weight and on the area where the collection will take place.

The Customer is advised to return the products by tracked or recorded/signed-for delivery, with a declared value corresponding to the price of the returned product, and to insure the returned products so as to cover risks of loss or damage to the products.

The products must be returned in perfect condition and in their original packaging to guarantee their safety, accompanied by their documentation and installation accessories.

For these products it is necessary to contact the Seller to schedule a collection

Les produits devront être retournés en parfait état et dans leur emballage d'origine garantissant ainsi leur sécurité, accompagnés de leurs notices et accessoires de pose.

Sous réserve du parfait état du produit retourné, le remboursement de la totalité des sommes versées, y compris les frais de livraison, sera assuré par le Vendeur, selon le même moyen de paiement que celui utilisé par le Client pour payer sa commande, sauf accord exprès du Client pour qu’il utilise un autre moyen de paiement, dans un délai maximum de quatorze jours à compter de la date à laquelle il est informé de la décision du Client de se rétracter.

Le Vendeur n’est pas tenu de rembourser les frais supplémentaires si le Client a expressément choisi un mode de livraison plus coûteux que le mode de livraison standard proposé par le Vendeur.

Toutefois, le droit de rétraction ne s'applique pas aux produits suivants :

Les produits confectionnés selon les spécifications du Client ou nettement personnalisés (notamment, les spécifications en termes de matières, de bois, de couleurs ou de dimensions spécifiques du produit), tels que les produits réalisés sur-mesure,

Les produits qui, du fait de leur nature, ne peuvent être réexpédiés, en ce qu’ils sont susceptibles de se détériorer.

ARTICLE 11 : RENONCIATION ET TOLERANCE

Il est formellement convenu entre les cocontractants que toute tolérance ou renonciation de l'une des Parties dans l'application de tout ou partie des engagements prévus aux présentes, quelles qu'en aient pu être la fréquence et la durée, ne saurait valoir modification des présentes, ni générer un droit quelconque.

Plus précisément, aucun retard ni aucune inaction, abstention ou omission de la part du Vendeur dans l'exercice de l'un quelconque de ses droits au terme des présentes ne portera atteinte aux dits droits, ni ne sera considéré comme impliquant de sa part une renonciation à se prévaloir de ses droits.

ARTICLE 12 : INTEGRALITE

Les présentes conditions générales expriment l'intégralité des obligations des parties.

Aucune indication, aucun document, ne peuvent engendrer des obligations au titre des présentes, s'ils ne font l'objet d'un avenant signé par les deux parties.

Aucune correspondance antérieure à la signature des présentes ne peut engendrer des obligations au titre dudit contrat.

ARTICLE 13 : NON VALIDITE PARTIELLE

Si une stipulation particulière des présentes est tenue pour non valide, ou déclarée telle par une décision ayant autorité de la chose jugée d'une juridiction compétente, les autres stipulations garderont toute leur force et leur portée, à l'exception de l'annulation des articles 3, 6 et 7, considérés par les parties comme étant essentiels.

ARTICLE 14 : RECLAMATIONS

Toute demande d’information et réclamation éventuelle doit être adressée par mail à l’adresse suivante : contact@gardenode.com 

ARTICLE 15 : DROIT APPLICABLE ET COMPETENCE

Les Parties reconnaissent que les présentes conditions générales de vente sont soumises au droit français, sans considération du lieu de leur siège social ou de leur établissement. 

Pour le cas où un litige naîtrait entre les Parties du fait de l'exécution ou de l'interprétation des présentes, les Parties conviennent préalablement à toute action en justice que toute réclamation fera l'objet d'une mise en demeure préalable par courrier recommandé avec demande d'avis de réception.

Les Parties s’efforceront de rechercher une solution amiable au litige. Si les Parties ne sont pas parvenues à une résolution amiable du litige passé un délai de dix (10) jours suivant l'envoi du courrier visé à l'alinéa précédent, toute Partie pourra engager toute procédure utile.

Les Parties conviennent de soumettre tout litige à la compétence exclusive du Tribunal de commerce de Lille Métropole en France.
